1. Acceptance of Terms
Welcome to BidSling. These Terms of Service ("Terms") constitute a legally binding agreement between you and BidSling LLC ("BidSling," "we," "us," or "our") governing your use of the BidSling application and website (collectively, the "Service").
By accessing, downloading, or using BidSling in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you must immediately cease using the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the updated Terms.
2. Description of Service
BidSling is a professional electrical estimating and bidding platform designed to streamline the estimation process for electrical contractors. The Service provides comprehensive tools for creating accurate bids and project estimates, available as a mobile application (iOS and Android) and web-based application.
The Service includes, but is not limited to:
- Material Takeoffs: Access to a comprehensive database of 5,000+ electrical materials with real-world pricing, labor units, and custom material creation capabilities
- Labor Management: Tools for configuring labor crews with field and management classifications, headcount tracking, and pay rate management
- Equipment Tracking: Features for monitoring company-owned equipment, rentals, and calibration tools with associated costs
- Bid Calculations: Automated calculation of material costs, labor expenses, equipment charges, overhead, markups, and fringe benefits
- PDF Export: Professional bid document generation ready for direct client submission
- Project Management: Comprehensive project tracking, team collaboration, and role-based access control for team members
3. Account Registration and Eligibility
To use BidSling, you must create an account and provide accurate, current, and complete information. You represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into binding agreements
- All information provided during registration is true, accurate, current, and complete
- You are authorized to represent the organization on whose behalf you create the account
- You will maintain only one company account per organization unless explicitly authorized in writing by BidSling
You are solely responsible for maintaining the confidentiality of your account credentials, including username and password. You agree to be responsible for all activity that occurs under your account. You must notify BidSling immediately of any unauthorized access or use of your account. BidSling will not be liable for any loss or damage resulting from unauthorized use of your account if you fail to comply with these security obligations.
4. Subscription Plans and Billing
BidSling offers the following subscription tiers:
Free Plan
Includes limited features such as one active project, basic material takeoff, labor and cost tracking, and a basic bid summary. The Free Plan may be discontinued at any time at our discretion.
Solo Plan
$49 per month for independent estimators. Includes unlimited projects, full access to the material database (5,000+ items), configurable markups and fringes, professional PDF export, and priority email support.
Enterprise Plan
Starting at $199 per month for teams. Includes everything in Solo, team member seats (available in tiers of 5, 10, or 25 seats), role-based access control, company-wide project sharing, and dedicated support.
Billing and Payment Processing: Billing for paid subscriptions is processed through:
- Apple App Store (for iOS in-app purchases)
- Google Play Store (for Android in-app purchases)
- Stripe (for web-based payments)
By purchasing a subscription, you authorize BidSling and our payment processors to charge your account. Charges will be billed to your payment method on file at the start of your billing cycle and recurring monthly thereafter unless you cancel your subscription.
Auto-Renewal and Cancellation: Paid subscriptions are set to automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You can cancel your subscription at any time through your account settings in the app or by contacting support@bidsling.com. Cancellation takes effect at the end of your current billing cycle.
Free Trials: BidSling may offer free trial periods for subscription plans. Free trials are limited to new users and one trial per person or device. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends. Your payment method will be charged on the first day of the paid subscription cycle.
Price Changes: We reserve the right to modify subscription pricing at any time. If we increase prices, we will provide at least 30 days' notice. Continued use of the Service after notification constitutes acceptance of new pricing. If you do not accept new pricing, you may cancel your subscription.
Refunds: Subscription fees are non-refundable except as required by applicable law. Refund requests must be submitted within 30 days of purchase. We will evaluate refund requests on a case-by-case basis in accordance with the policies of our payment processors.
5. Acceptable Use Policy
You agree to use BidSling only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes:
- Using the Service for any illegal purpose or in violation of applicable laws and regulations
- Attempting to gain unauthorized access, hacking, or reverse-engineering the Service or its infrastructure
- Sharing your account credentials with third parties or allowing others to access your account without authorization
- Uploading, transmitting, or storing malicious code, viruses, malware, or other harmful content
- Using automated scripts, bots, scrapers, or other automated tools to access the Service without authorization
- Attempting to overload or disrupt the Service through denial-of-service attacks or other malicious activities
- Collecting or harvesting personal data from other users without consent
- Using the Service to transmit spam, unsolicited messages, or promotional content
- Engaging in any form of harassment, threatening behavior, or abusive conduct toward other users
- Creating duplicate accounts to circumvent usage limits or trial period restrictions
BidSling reserves the right to investigate suspected violations of this Acceptable Use Policy and take appropriate action, including suspension or termination of your account.
6. Intellectual Property Rights
BidSling Ownership: BidSling and its licensors retain all right, title, and interest in and to the Service, including all software code, design elements, features, functionality, documentation, databases, trademarks, logos, and branding. The Service is protected by copyright, patent, trademark, and other intellectual property laws. Except as expressly granted in these Terms, you have no right to use, reproduce, modify, distribute, or create derivative works from BidSling's intellectual property without our prior written consent.
Material Database Proprietary Rights: The material database, including all electrical materials, pricing data, labor units, and equipment costs, is proprietary to BidSling and owned exclusively by BidSling. You may not extract, download, or export the complete material database or use it for purposes outside of creating estimates within the Service.
User-Generated Content Ownership: You retain ownership of all content you create within BidSling, including project data, material lists, labor configurations, bid documents, and custom materials. This includes the text, numbers, and structure of your estimates and project information.
Limited License to BidSling: By using the Service, you grant BidSling a non-exclusive, worldwide, royalty-free license to store, process, analyze, and use your user-generated content solely for the purpose of providing the Service to you. This license permits us to store your data, process estimates, generate PDF exports, and maintain backups for security and disaster recovery purposes.
7. User Content and Responsibility
You are solely responsible for the accuracy, completeness, and legality of all information you input into BidSling, including material quantities, labor rates, pricing, and project details. BidSling does not verify the accuracy of any user-input data.
You acknowledge that:
- You are responsible for verifying the accuracy of all estimates and bids before submitting them to clients
- Material pricing and labor rates in the database may not reflect current market conditions in your area
- You must independently verify all estimates for accuracy and compliance with applicable regulations and industry standards
- You assume full responsibility for any errors, discrepancies, or inaccuracies in your bids
BidSling is not responsible for any financial loss, lost contracts, or business impact resulting from inaccurate bids, missed opportunities, or calculation errors. You use the Service's calculations and estimates at your own risk.
8. Disclaimer of Warranties
AS-IS SERVICE: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BIDSLING DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
No Accuracy Guarantee: BidSling does not guarantee the accuracy, completeness, or timeliness of:
- Material pricing or labor rates in the database
- Calculations performed by the Service
- Bid estimates or project totals generated through the Service
- Any third-party data or information accessed through the Service
Your Verification Responsibility: YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL ESTIMATES, BID CALCULATIONS, AND PROJECT DATA BEFORE RELYING ON THEM OR SUBMITTING THEM TO CLIENTS. BIDSLING IS NOT LIABLE FOR ANY INACCURATE BIDS, LOST CONTRACTS, MISSED OPPORTUNITIES, OR OTHER BUSINESS CONSEQUENCES RESULTING FROM RELIANCE ON SERVICE CALCULATIONS OR DATA.
Service Availability: BidSling makes no warranty that the Service will be uninterrupted, error-free, or free from malicious code. We do not guarantee that any defects in the Service will be corrected.
9. Limitation of Liability
CAP ON LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSLING'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO BIDSLING IN SUBSCRIPTION FEES DURING THE 12 MONTHS PRECEDING THE CLAIM.
No Liability for Indirect Damages: IN NO EVENT SHALL BIDSLING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, EVEN IF BIDSLING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Limitations Apply Broadly: The limitations in this section apply to all claims based on warranty, contract, tort (including negligence), strict liability, breach of duty, or any other legal theory. These limitations shall apply even if limited remedies fail of their essential purpose.
10. Termination
Termination by You: You may terminate your BidSling account at any time by navigating to Settings > Account > Delete Account within the application or by emailing support@bidsling.com with a termination request. Your account will be marked for deletion and processed within 30 days.
Termination by BidSling: BidSling may suspend or terminate your account and access to the Service immediately and without notice if:
- You violate these Terms of Service or our Acceptable Use Policy
- Your account activity raises fraud, security, or legal concerns
- You engage in abusive conduct toward other users or BidSling staff
- You fail to pay required subscription fees within 30 days of invoice
- We are required to do so by law or legal process
Data Deletion Upon Termination: When your account is deleted or terminated:
- All your personal account information (name, email, phone number) will be permanently deleted
- All project data, estimates, and custom materials you created will be permanently deleted
- Your authentication credentials will be removed
- You will lose access to all BidSling features and your project history
We will retain certain information as required by law or for legitimate backup and archival purposes. Account deletion is permanent and cannot be undone.
Effect of Termination: Termination does not relieve you of obligations incurred prior to termination, including payment for services received through the date of termination.
11. Changes to Terms and Service
BidSling may modify these Terms of Service at any time. Material changes will be posted on our website with an updated "Last updated" date. For material changes, we will provide at least 30 days' notice by email or through the Service.
Your continued use of the Service following notification of changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.
BidSling also reserves the right to modify, suspend, or discontinue the Service or any features thereof at any time, with or without notice. We will make reasonable efforts to provide notice of discontinuation of major features, but we are not obligated to do so.
12. Governing Law and Dispute Resolution
Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the State of [User's State], without regard to its conflict of law provisions.
Binding Arbitration: You and BidSling agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through final and binding arbitration, rather than in court. This includes claims based on contract, tort, fraud, misrepresentation, statute, regulation, or any other legal theory.
Arbitration Procedure: Arbitration shall be conducted under the Expedited Procedures and Supplementary Procedures for Arbitration contained in the American Arbitration Association (AAA) Commercial Arbitration Rules, as modified by this provision. The arbitration shall be conducted by a single neutral arbitrator. The arbitrator shall issue a written decision stating the basis for the award. The arbitration will be conducted in English in a location mutually agreed upon by the parties.
Exceptions to Arbitration: Notwithstanding the foregoing, the following claims are not subject to arbitration and may be brought in court: (a) claims for injunctive or equitable relief to prevent infringement of intellectual property rights, and (b) claims arising under applicable consumer protection statutes that explicitly prohibit arbitration.
Costs and Fees: BidSling will pay the filing fee and arbitrator compensation if the arbitrator awards you relief that exceeds any written settlement offer made by BidSling before arbitration commenced. If the arbitrator finds that either party's claims are frivolous, the arbitrator may allocate costs accordingly.

14. Miscellaneous Provisions
Entire Agreement: These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and BidSling regarding your use of the Service and supersede all prior agreements, negotiations, and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
No Waiver: BidSling's failure to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of BidSling.
No Agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BidSling. You are an independent user of the Service.
Assignment: You may not assign these Terms or any rights or obligations hereunder without BidSling's prior written consent. BidSling may assign these Terms to any successor or affiliate without restriction. Any unauthorized assignment by you shall be void.
Third-Party Links: The Service may contain links to third-party websites and services. BidSling is not responsible for the content, accuracy, or practices of these third-party sites. Your access and use of third-party sites are at your own risk and subject to their terms and policies.
